1. Acceptance of Terms

Welcome to PocketAI. These Terms of Service ("Terms") govern your access to and use of the PocketAI mobile application, website, APIs, and all related services (collectively, the "Service") provided by PocketAI Technologies ("PocketAI," "we," "our," or "us").

By creating an account, downloading the application, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" shall refer to both you individually and the organization.

2. Description of Service

PocketAI provides an on-device artificial intelligence assistant that runs directly on your mobile device. The Service includes, but is not limited to:

• On-Device AI Processing: Natural language understanding, text generation, summarization, translation, and other AI capabilities executed locally on your device.
• Privacy-First Architecture: Core AI functionality that operates without transmitting your data to external servers.
• Optional Cloud Features: Enhanced capabilities available through optional cloud connectivity, including model updates, cross-device synchronization, and premium AI models.
• Developer SDK: Tools and APIs for integrating PocketAI capabilities into third-party applications.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

To access certain features of the Service, you must create an account. When creating your account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent.

4. Subscription & Payments

PocketAI offers both free and premium tiers of service:

• Free Tier: Provides access to core on-device AI features with standard model capabilities at no charge.
• Premium Subscription: Available at $10.00 per month (or equivalent in your local currency), the premium tier unlocks advanced AI models, priority support, cloud synchronization, extended context windows, and additional features as described on our pricing page.

By subscribing to the premium tier, you agree to the following payment terms:

• Subscriptions are billed on a recurring monthly basis and will automatically renew unless cancelled before the end of the current billing period.
• Payment is processed through our third-party payment provider. You authorize us to charge the payment method on file for all applicable fees.
• Prices are subject to change with 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• Refunds are handled on a case-by-case basis. If you are dissatisfied with the Service, please contact our support team within 14 days of your initial subscription for a full refund.
• You may cancel your subscription at any time through the app settings or by contacting support. Cancellation takes effect at the end of the current billing period.

5. Intellectual Property

The Service, including all software, AI models, algorithms, designs, text, graphics, logos, trademarks, and other content provided by PocketAI, is the exclusive property of PocketAI Technologies and is protected by international copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal business purposes in accordance with these Terms. This license does not include the right to:

• Modify, reverse engineer, decompile, or disassemble the Service or any component thereof
• Copy, distribute, or create derivative works based on the Service
• Remove, alter, or obscure any proprietary notices or labels on the Service
• Use the Service for competitive analysis or to build a competing product
• Extract or attempt to extract the AI models, weights, or training data

6. User Content

You retain ownership of all content you create, input, or generate using the Service ("User Content"). Because PocketAI processes data on-device by default, your User Content remains stored locally on your device under your control.

If you enable optional cloud features, you grant PocketAI a limited, non-exclusive license to store and transmit your encrypted User Content solely for the purpose of providing the cloud synchronization service. We do not access, read, or analyze the content of your encrypted data.

You are solely responsible for your User Content and represent that you have all necessary rights to use it with the Service. You agree not to use the Service to process content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable.

7. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Generate content that promotes violence, discrimination, or illegal activities
• Attempt to gain unauthorized access to any part of the Service, other user accounts, or any systems or networks connected to the Service
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any malware, viruses, or other malicious code
• Use automated means (bots, scrapers, etc.) to access the Service without our express written permission
• Circumvent any technical measures we use to provide the Service
• Use the Service to develop weapons, conduct surveillance, or engage in any activity that may cause harm to individuals or groups
• Resell, sublicense, or commercially exploit the Service without authorization

Violation of these prohibitions may result in immediate suspension or termination of your account and may subject you to legal liability.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, POCKETAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

PocketAI does not warrant that:

• The Service will meet your specific requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• AI-generated outputs will be accurate, complete, reliable, or suitable for any particular purpose
• Any defects in the Service will be corrected

AI-generated content should not be relied upon as professional advice (medical, legal, financial, or otherwise). You acknowledge that AI outputs may contain errors, biases, or inaccuracies and assume full responsibility for how you use such outputs.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POCKETAI TECHNOLOGIES, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO POCKETAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Casablanca, Morocco.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:

• Your license to use the Service will immediately cease
• You must discontinue all use of the Service
• Any data stored locally on your device will remain under your control
• Any data stored on our servers in connection with your account may be deleted after a reasonable retention period
• Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability

You may terminate your account at any time by deleting it through the app settings or by contacting our support team. If you have an active premium subscription, please cancel it before deleting your account to avoid further charges.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice through one or more of the following methods:

• Posting the updated Terms on our website with a revised "Last Updated" date
• Displaying a prominent notice within the PocketAI application
• Sending an email notification to the address associated with your account

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must stop using the Service and terminate your account.
